What SEIS Advance Assurance is
The Seed Enterprise Investment Scheme (SEIS) is a UK government programme that offers tax reliefs to individual investors who subscribe for new shares in qualifying early-stage companies.
Advance Assurance is a service from HMRC that allows a company to ask, before investment is taken, whether it is likely to qualify for SEIS based on the information supplied. It gives founders and investors an indication of eligibility before a round proceeds.
Advance Assurance is not SEIS approval, not a guarantee of tax relief, and not an endorsement of the company or its prospects. Investor tax treatment always depends on individual circumstances and on the company continuing to meet the applicable requirements.
How the process works
- 01Company preparation — confirming structure, eligibility and readiness
- 02Investor interest — gathering indicative support for the round
- 03Supporting documentation — business plan, forecasts and company details
- 04HMRC application — submitting the Advance Assurance request
- 05HMRC review — HMRC may ask questions or request further detail
- 06HMRC decision — an indication of whether the company is likely to qualify based on the information supplied
- 07Investment & share issue — the round proceeds and shares are issued to investors
- 08SEIS compliance process — post-investment compliance statements and investor certificates, subject to applicable requirements
